Ethics Violation Reporting

To support SanDisk's values and commitment to social responsibility, we have provided two tools that can be accessed to report violations of our Worldwide Code of Business Conduct and Ethics: the Ethics Hotline and the EthicsPoint website. These tools are available to SanDisk's employees, officers, directors, contractors, and agents.

Both the Ethics Hotline and EthicsPoint website are simple, risk-free ways for you to anonymously report actual or suspected violations of SanDisk's Worldwide Code of Business Conduct. You can call the Ethics Hotline toll-free, or access www.ethicspoint.com from your home or office 24 hours a day, seven (7) days a week.

If you're uncomfortable with this direct approach, call the Ethics Hotline or access www.ethicspoint.com.

Why are the Ethics Hotline and EthicsPoint.com important to SanDisk?
SanDisk is committed to conducting business in accordance with the highest ethical and legal standards. The SanDisk Ethics Hotline and EthicsPoint website are an effective way to report actual or suspected violations of the SanDisk's Worldwide Code of Business Conduct.

Do I have to give my name?
No. You may give your name if you want, but you are not required to identify yourself. All communications are handled by an independent, third-party communications specialist who assigns your call or Internet report a unique identification number that you can refer to during any follow-up communications. The Ethics Hotline and Ethicspoint website are staffed 24 hours a day, seven (7) days a week for your convenience.

What happens when I make a call or visit the website?
Once the communications specialist receives your report, an investigation will be conducted and appropriate action will be taken. To protect everyone involved, no disciplinary or legal action will be taken based only on hotline or web-based reports. Only substantiated findings will result in action. Remember, your name is not required. Each case will be reported to the SanDisk Audit Committee of the Board of Directors.

What if I don't have all of the facts?
Call the Ethics Hotline or access www.ethicspoint.com even if you are not sure there is a problem. SanDisk will look into information you do provide, attempt to verify it, and take appropriate action.
